Company Secretary Designate

Remote Permanent, Part Time £10666.67 - £10666.67 per annum

Ashberry Recruitment are working on behalf of a fantastic, Skipton based organisation who are looking to add to their team with a qualified Company Secretary.

The position offers remote working, part time hours (10 hours per week) and quarterly meetings which need to be attended in person.

The Clerk’s responsibilities include, but may not be limited to the following:

  • In consultation with the Chairman of the Trustees, preparation of agenda for meetings and attendance at such meetings, preparing minutes on a timely basis for approval by the Chairman and circulation to the Board.
  • Implementation of decisions made by the Trustees at meetings where such decisions, which may relate to the formal business of the charity, are not delegated to the charity’s Managing Agents.
  • Provision of advice to the Trustees at Board meetings and, as necessary, in communications issued to consult and update the Trustees on a day-to-day basis in respect of the charity’s business, and in particular in the preparation of information and briefings required for effective decision-making by the Board.
  • Analysis of publications and other data relating to the activities of the charity, where appropriate liaising with advisor’s and contractors in particular fields to produce reports for circulation and discussion by the Trustees.
  • Administration of the charity and the charitable company, liaising with and monitoring the implementation of decisions delegated to the Trust’s Managing Agents for land and property holdings.
  • Day-to-day liaison on other administrative work with the Trust’s Managing Agents, checking and confirming proposed actions requiring urgent decision with the Chairman.
  • Liaison with the Trust’s accountants and solicitors and follow-through of activities which may be ongoing with such agents from time to time.
  • Administration and management of payments systems, including issuing approved grant payments, from the Trust’s bank accounts, using the approved procedures with required dual signatory approvals.
  • Liaising with the Managing Agents as regards income and expenditure from the Trust’s Client Account, preparation of management accounts on a quarterly basis for submission to the Trustees.
  • In consultation with the Trust’s accountants, preparation of the Annual Return for the charity and of the statutory accounts for the company.
  • Carrying out administration work for the successful running of the Trust as a charity and as a charitable limited company, including filing of documents and maintenance of the statutory records.
  • Administration of the charity’s website [and social media outlets], updating published information and posting items as appropriate, and preparing press releases as necessary in consultation with the Chairman of the Trustees.
  • Drafting and updating of charity’s policies and procedures from time to time and publication of them on the charity’s website.
  • Receipt of correspondence and documents on behalf of the Trust, handling emailed correspondence and picking up post from the registered office address of the company as necessary, and replying to and otherwise dealing with issues arising from the correspondence and documents, as appropriate, bringing items of business to the attention of the Trustees as necessary.
  • Holding keys for the Trust’s properties from time to time and inspecting the properties on an annual basis to assess key risks and requirements for insurance purposes.
  • Attendance at external networking events and training courses, as authorised by the Trustees.
  • Acting as the representative of the Trustees as required.
  • Any other relevant duties.

Desirable:

  • Knowledge of company law
  • Basic accounting
  • Chartered Governance Qualifying Programme (CGI Qualification) or similar

PLEASE NOTE THIS ROLE IS A PART TIME POSITION TOTALLING 10 HOURS A WEEK ON A PERMANENT CONTRACT
